The JDM Rush Marketplace (the "Platform") is operated by JDM Rush Imports ("JDM Rush", "we", "us"). These Terms of Service, together with our Privacy Policy and, where applicable, the Seller Agreement and Buyer Agreement, form a binding agreement between you and JDM Rush governing your access to and use of the Platform, including its websites, tools, and communications. By creating an account, clicking to accept, or using the Platform, you confirm that you have read, understood, and agree to these terms. If you do not agree, you must not use the Platform. Where a provision of the Seller Agreement or Buyer Agreement conflicts with these Terms of Service, the more specific agreement governs for that activity.

To use the Platform you must (a) have reached the age of majority in your province or territory of residence, (b) have the legal capacity to enter binding contracts, and (c) reside in Canada. You agree to provide accurate, current, and complete information when registering and to keep it updated. You are responsible for all activity under your account and for keeping your credentials confidential. Accounts are personal and may not be sold, transferred, or shared. We may require verification of your email address or phone number before you can access certain features, and we may suspend accounts that provide false information or that we reasonably believe are compromised or used in breach of these terms.
In plain wordsWe provide the venue, tools, and paperwork. The sale itself is a private transaction between buyer and seller — we are not a party to it, and we are not a dealer or broker.
The Platform is a venue that connects private sellers and buyers of vehicles, provides negotiation tools, and generates transaction paperwork. JDM Rush is not a party to any purchase or sale concluded between users, does not take ownership or possession of listed vehicles, does not act as a motor vehicle dealer, broker, or agent for either party in the sale of the vehicle, and does not guarantee the condition, history, legality, registrability, value, or fitness of any vehicle. Each sale is a private transaction between the buyer and the seller. We do not inspect vehicles. Any review we perform on listings (including our quality-control review) is limited to presentation and completeness of the listing and is not a verification of the vehicle or the seller's claims. Buyers and sellers are each responsible for complying with the laws of their province or territory, including registration, taxation, safety inspection, and consumer protection requirements applicable to private vehicle sales.
In plain wordsRush is an automated, AI-powered assistant that negotiates on the seller's behalf using rules the seller sets. It is software, not a person, and it does not give advice.
The Platform includes an automated negotiation assistant called Rush. Rush communicates with buyers on behalf of the seller and applies pricing parameters that the seller configures (such as an asking price, a reserve, and automatic accept and reject thresholds). Decisions to automatically accept, reject, or escalate an offer are made by applying the seller's parameters; the conversational messages that accompany them are generated by artificial-intelligence language models. You acknowledge that (a) Rush is an automated system, not a human, (b) Rush acts on the seller's instructions and does not represent, advise, or act for the buyer, (c) Rush's statements are generated automatically and may contain errors, and the listing itself, not chat messages, is the authoritative description of the vehicle, and (d) chat transcripts are stored and are processed by third-party AI providers as described in our Privacy Policy. Nothing Rush communicates constitutes mechanical, legal, financial, or purchasing advice.
In plain wordsYou own what you post but give us permission to display it. Listings must be accurate, lawful, and yours to sell.
You retain ownership of the content you submit to the Platform, including photographs, video, and descriptions. You grant JDM Rush a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, and distribute that content for the purposes of operating, promoting, and improving the Platform. You represent that your content is accurate and does not infringe any third party's rights. We may edit listings for formatting, decline or remove any listing, or suspend any account, where we reasonably believe a listing is inaccurate, unlawful, infringing, or inconsistent with these terms or our listing standards. Listings expire automatically after the period shown on the Platform (currently 90 days) unless renewed.
In plain wordsOffers made through the platform are genuine commitments. When an offer is accepted, we generate a bill of sale for both parties to sign electronically.
Offers, counter-offers, acceptances, and rejections made through the Platform are communications between the buyer and the seller (including through Rush acting on the seller's parameters). When an offer is accepted — by the seller directly, by the buyer accepting a counter-offer, or automatically under the seller's pre-set thresholds — the Platform generates a bill of sale reflecting the agreed price and the listing's disclosed condition. The resulting purchase contract is between the buyer and the seller only. Offers expire automatically after the period shown on the Platform (currently 72 hours) if not answered, and unsigned contracts expire after the period shown on the Platform. You agree that electronic signatures applied through the Platform (whether typed or drawn) are valid and enforceable to the same extent as handwritten signatures, and you consent to receiving contracts, notices, and records electronically, in accordance with applicable federal and provincial electronic commerce legislation.
In plain wordsBuyers pay us nothing. Sellers pay a platform fee of 3% of the sale price (minimum $500) when a deal is signed. The vehicle purchase itself happens directly between buyer and seller.
Use of the Platform is free for buyers. Sellers pay JDM Rush a platform fee equal to 3% of the agreed sale price, subject to a minimum fee of $500 CAD, payable when the bill of sale has been signed by both parties. Platform fees are processed by Stripe, our third-party payment processor; we do not store full payment card details. The purchase price of the vehicle itself is paid directly between buyer and seller and does not pass through the Platform; we are not an escrow service and do not hold funds on either party's behalf. Except as required by law, platform fees are non-refundable once the parties' identities have been released to one another. Applicable taxes may be added to fees where required. We may change our fee structure prospectively on notice; changes do not affect deals already in progress.
In plain wordsWe keep buyers and sellers anonymous to each other until a deal is signed and the platform fee is paid. Don't try to get around this.
A core feature of the Platform is identity protection: buyers and sellers negotiate without seeing one another's legal names or contact details. Contact and identity details are released to both parties only after the bill of sale has been signed by both parties and the platform fee has been paid. You agree not to attempt to identify, contact, or solicit another user outside the Platform before that point, whether through information gleaned from photographs, chat, or otherwise, and not to use the Platform to harvest personal information about other users.

You agree not to (a) list a vehicle you do not own or lack authority to sell, or misrepresent a vehicle's identity, mileage, condition, or history; (b) use the Platform to negotiate a deal and then complete that deal off-Platform to avoid the platform fee (circumvention); (c) make offers without genuine intent to purchase; (d) manipulate, probe, or misuse Rush or any Platform AI system, including attempts to extract other users' information or to cause the system to act outside its purpose; (e) interfere with the Platform's operation or security, scrape it, or access it by automated means except through features we provide; (f) list stolen vehicles, vehicles with undisclosed liens you cannot discharge at sale, or vehicles that cannot lawfully be sold; or (g) use the Platform for any unlawful purpose. We may investigate suspected violations, remove content, withhold or cancel deals in progress, suspend or terminate accounts, and recover fees that were avoided through circumvention.

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, JDM Rush disclaims all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure; that listings are accurate; that any vehicle is as described; that any user will complete a transaction; or that content generated by automated systems, including Rush, is accurate or complete. Some jurisdictions do not allow certain warranty exclusions; where the law of your province grants you rights that cannot be waived, those rights prevail to that extent.
In plain wordsOur liability is capped at the fees you paid us in the past 12 months. You cover us if your breach of these terms causes claims against us.
To the maximum extent permitted by law, JDM Rush and its owners, employees, and suppliers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to the Platform or any transaction between users, even if advised of the possibility. Our total aggregate liability for all claims arising out of or relating to the Platform is limited to the greater of (a) the platform fees you paid to us in the twelve months preceding the event giving rise to the claim and (b) $100 CAD. You agree to indemnify and hold JDM Rush harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these terms, your listings or content, your negotiations or transactions with other users, or your violation of law. Nothing in this section limits liability that cannot be limited under applicable law, including liability for our own gross negligence or wilful misconduct.
In plain wordsYou can close your account any time. We can suspend or close accounts that break the rules. Some obligations survive.
You may stop using the Platform and request closure of your account at any time; obligations arising from deals already signed, including payment of platform fees, survive closure. We may suspend or terminate your access, remove listings, or cancel pending negotiations if you breach these terms, if required by law, or if we reasonably believe your use poses a risk to other users or to the Platform. Where practical we will give notice and an opportunity to respond. Sections concerning fees owed, content licences, identity protection, disclaimers, limitation of liability, indemnity, and governing law survive termination.
In plain wordsWhen we change these terms, we'll bump the version and ask you to re-accept before you keep transacting.
We may amend these Terms of Service from time to time. When we make a material change, we will post the updated version with a new version number and effective date and ask you to re-accept before continuing to list, offer, or sign through the Platform. Your continued use of the Platform after accepting an updated version constitutes agreement to it. Changes do not retroactively alter the terms that governed a contract already signed.
In plain wordsOntario law applies, and disputes with us go to Ontario courts. Try talking to us first — most issues can be resolved directly.
These terms and any dispute arising out of or relating to the Platform are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules, and subject to any mandatory consumer-protection law of the province in which you reside. Before commencing formal proceedings against JDM Rush, you agree to contact us and give us thirty days to attempt in good faith to resolve the issue. Subject to that, the courts of the Province of Ontario have exclusive jurisdiction over disputes between you and JDM Rush, and each party waives objection to venue in those courts. Disputes between a buyer and a seller are the parties' own to resolve; we have no obligation to mediate them, although we may, at our discretion, assist.

If any provision of these terms is held unenforceable, the remainder continues in effect and the unenforceable provision is modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in connection with a reorganization or sale of the business, on notice. These terms, together with the Privacy Policy and any agreement you accept for a specific role (Seller Agreement, Buyer Agreement), are the entire agreement between you and JDM Rush regarding the Platform.
